These Terms apply comprehensively along with any specific service agreements, statements of work, or contracts you may sign with us.

All our services are subject to the specific terms outlined in your individual agreements, proposals, or contracts. We reserve the right to modify, suspend, or discontinue any service with prior notice as applicable.

6. Use of Website

While using our website, you agree to comply with all applicable laws and regulations. Specifically, you agree to:

Use the website exclusively for lawful, legitimate purposes.
Not engage in any activity that could damage, disable, overburden, or impair the proper functioning of the website.

7. Client Obligations

To ensure a successful partnership and timely delivery of services, when engaging Adynix Media, you agree to the following obligations:

Provide timely feedback, revisions, and approvals. Please note that delays from the client's side may directly affect project timelines and delivery dates.
Ensure that any content, images, or materials you provide do not infringe upon any third-party copyrights, trademarks, or intellectual property rights.
Provide necessary access credentials (such as hosting control panels, domain registrars, or social media accounts) as required for us to perform the services.
Maintain the strict confidentiality of any shared credentials and access points.
Designate a single, authoritative point of contact within your organization for all project communication and approvals.

8. Intellectual Property Rights

Our policies regarding intellectual property are designed to protect both the Company and the Client:

Company IP: All content, logos, graphics, structural designs, trademarks, source code, and proprietary tools displayed on this website or used in our internal processes are the exclusive property of Adynix Media unless otherwise stated. You may not reproduce, modify, distribute, or use them without our explicit written consent.
Client Deliverables: Upon receipt of full and final payment, the intellectual property rights in the final, approved deliverables are entirely transferred to the Client. However, there are two exceptions: (i) pre-existing Company tools, templates, libraries, and frameworks used to create the deliverables remain our exclusive property; (ii) we retain the right to showcase the completed work in our professional portfolio, case studies, and marketing materials unless a specific Non-Disclosure Agreement (NDA) or written objection is agreed upon.

9. Content Ownership & Client-Provided Materials

The Client completely retains ownership of all original content, brand assets, and materials provided to us for the project. By providing these materials, the Client warrants and guarantees that they hold the necessary rights and that the materials do not infringe upon any third-party intellectual property. The Client grants Adynix Media a limited, non-exclusive license to use, modify, and display such materials strictly for the purpose of delivering the agreed-upon services.

10. Payments & Billing

Our standard payment terms are structured as follows to ensure smooth service delivery:

All payments must be made as per the terms explicitly stated in the specific proposal, quotation, or invoice.
An advance payment or deposit is strictly required before any work commences.
The remaining balance is due as per agreed project milestones or upon final completion, prior to the handover of deliverables.
All prices and quotes are formulated in Indian Rupees (INR) unless explicitly stated otherwise.
Goods and Services Tax (GST) and any other applicable local or national taxes will be charged extra as per prevailing government rates.
Late payments may attract an interest charge of 1.5% per month on the outstanding overdue amount.
We reserve the right to temporarily suspend or entirely terminate services for consistent non-payment or breach of billing terms.

11. Refunds & Cancellations

For detailed information regarding our cancellation process and refund eligibility, please refer to our separate Refund & Cancellation Policy. As a general rule, because our services involve custom, time-intensive professional labor, payments are entirely non-refundable once actual work has commenced on a project.

12. Confidentiality

Both Adynix Media and the Client mutually agree to keep strictly confidential all proprietary and sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, marketing data, technical specifications, financial information, customer lists, and trade secrets. This confidentiality obligation remains in full effect and survives the termination of the agreement for a period of 2 (two) years.

13. Third-Party Links & Tools

Our website, projects, or services may utilize or provide links to third-party websites, tools, APIs, or platforms (such as Google, Meta, various hosting providers, CRM tools, etc.). We do not endorse, manage, or control these third parties. Consequently, we are not responsible for their content, privacy policies, operational practices, or any damages that may arise from utilizing their services.

14. Limitation of Liability

While we strive for excellence, our liability is limited in the following ways:

We make no absolute guarantees regarding specific financial results, exact website traffic, fixed search engine rankings, or guaranteed revenue increases, as these depend heavily on market dynamics and third-party algorithms.
Our total cumulative liability to you for any claim arising out of the services shall not exceed the total amount actually paid by you for the specific service in question.
Under no circumstances shall Adynix Media be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.
We are entirely not liable for any losses, ranking drops, or damages arising directly or indirectly from third-party platform changes, search engine algorithm updates, or policy modifications by external networks.

15. Indemnification

You agree to fully indemnify, defend, and hold harmless Adynix Media, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising out of or related to:

Your breach or violation of these Terms and Conditions.
Your improper or unlawful use of our services or website.
Any content, materials, or instructions provided by you that infringe upon third-party rights.
Any misrepresentation or fraud committed by you.

16. Force Majeure

Neither the Company nor the Client shall be held liable for any failure or significant delay in performing their obligations under these terms if such failure or delay is caused by circumstances beyond reasonable control. These circumstances include, but are not limited to, natural disasters, global pandemics, government actions or lockdowns, massive internet or power outages, severe cyberattacks, acts of war, or civil unrest.

17. Termination

We reserve the right to suspend or terminate your access to our website or services at our sole discretion, without prior notice, if you severely violate these Terms. Upon termination: (a) your right to access and use the services will immediately cease; (b) all outstanding payments for work completed up to the date of termination remain immediately due; and (c) all confidentiality obligations, intellectual property rights, and liability limitations will survive the termination.

18. Dispute Resolution & Governing Law

We believe in resolving disagreements amicably and professionally:

These Terms shall be strictly governed by and construed in accordance with the laws of India.
In the event of a dispute, both parties shall first attempt to resolve it through good-faith negotiation and mutual discussion.
If the dispute remains unresolved after 30 days of negotiation, it shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996.
The seat and venue of the arbitration shall be Kolkata, West Bengal.
The competent courts of Nadia, West Bengal shall have exclusive jurisdiction over any legal matters that require court intervention.

19. Severability & Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect without impairment. Our failure to strictly enforce any provision or right under these Terms shall not be construed as a waiver of that provision or right.

20. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Refund Policy, Disclaimer, Shipping Policy, and any specific signed service agreement or statement of work, constitute the sole and entire agreement between you and Adynix Media regarding the subject matter herein. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

We reserve the right, at our absolute discretion, to update, modify, or replace these Terms at any time without prior individualized notice.
